Cristóbal has been an associate of our firm since 2021. He focuses on advising domestic and foreign clients in mergers and acquisitions, including the negotiation and preparation of share sale and purchase agreements, sale of assets, shareholders’ agreements and due diligence processes, as well as in general corporate matters. He also advises on financing transactions, including the structuring of the financing, granting guarantees, and the negotiation of loan documents. Additionally, Cristóbal provides advice on internal investigations of companies, the design and implementation of compliance models and criminal litigation.

• Advised Warner Bros. Discovery in the sale of CNN Chile, and in the negotiation of the agreements allowing the buyer to continue the operation of the news channel, including a license agreement.
• Advised Multiexport Foods in the sale to Cargill, Inc. of 24,5% of the shares of its subsidiary, Salmones Multiexport S.A., including the negotiation of a shareholders’ agreement between Multiexport, Cargill and Mitsui.
• Advised a private investment fund on its entry into a Chilean healthcare company, including the negotiation of a shareholders’ agreement.
• Advised a private investment fund in the sale of several companies, each one owning a real estate project.
• Advised Soprole in obtaining the loan agreement with HSBC for USD 130,000,000.
• Advised BCI Asesoría Financiera S.A. as mandate lead arranger, Banco de Crédito e Inversiones and Banco del Estado de Chile as lenders, in connection with a UF 1,000,000 term credit facility granted to Socovesa S.A. (USD 40,000,000 approx.), one of the main construction and real estate developer in Chile.
• Advised DNB Bank ASA in the negotiation and closing of a financing under Norwegian law granted by DNB Bank ASA and other creditors to the Aquaship Group.
