Balharry

Sergio is an senior associate of our firm since 2015. He specializes in advising domestic and foreign clients on regulatory compliance in financial and payment methods regulation. His clients include companies in the Fintech area, payment card issuers and operators, providers of payment processing services, among others.

Sergio also advises on mergers and acquisitions, including the negotiation and preparation of share purchase and sale agreements, sale of assets, shareholders’ agreements and the coordination of due diligence processes, as well as on general corporate matters.

He also advises on financing transactions, including the structuring of the financing, the constitution of real and personal guarantees and the negotiation of the loan documents. His experience includes bond issues in the local and foreign markets, among other matters related to the securities market.

Sergio has also advised domestic and foreign clients in insolvency matters and in restructuring and refinancing transactions.

In 2019, Sergio undertook a secondment at Gómez-Acebo & Pombo (Madrid, Spain).

• Continuous legal advice to Mercado Pago on regulatory restrictions applicable to the issuance and operation of payment cards.
• Advice to Multiexport Foods in the sale to Cargill, Inc. of 24,5% of the shares of its subsidiary, Salmones Multiexport S.A., including the negotiation of a shareholders’ agreement between Multiexport, Cargill and Mitsui.
• Advice to Turner International Latin America, Inc. in the purchase of Canal del Futbol (CDF), and in the license of the exclusive broadcasting rights of the professional Chilean soccer tournament for 15 years.
• Advice to Multiexport Foods in the investment by Mitsui & Co. Ltd. in its subsidiary Salmones Multiexport S.A., by means of which Mitsui acquired approximately 23% of the company.
• Advice to Automotores Gildemeister SpA in the restructuring of approximately USD 545,000,000 in senior notes issued in New York, by means of a “prepackaged” reorganization under Chapter 11 of the U.S. Bankruptcy Code.
• Advice to Empresa de Transporte de Pasajeros Metro S.A. (Metro) in connection with the issuance and placement of notes in New York , for USD 500,000,000.
• Advice to Empresa de Ferrocarriles del Estado (EFE) in the issuance and placement of notes in New York for USD 500,000,000.
