Cristóbal has over 10 years of experience advising on natural resources and mining projects, with extensive expertise in mining property, contracts, royalties, and corporate law, in addition to leading mergers and acquisitions transactions.

Experience

Cristóbal has been an associate at our firm since 2011. His professional practice focuses primarily on advising national and international clients in the development of projects related to natural resources and mining, particularly in the exploration, development, financing, operation of mining projects, mine closures, and related aspects. He has extensive experience in matters such as mining property, option contracts, surface rights, the establishment of royalties, preparation and negotiation of civil and commercial contracts, communications with authorities, real estate law, and corporate law in general.

Additionally, he has significant experience in mergers and acquisitions transactions, leading due diligence processes and advising on the purchase and sale of assets, joint ventures, corporate restructurings, and shareholders’ agreements, among others.

Cristóbal is the president of our office’s Occupational Health and Safety Committee and a member of the Senior Associates Committee board.

Advice to

  • We advised South32 Limited on the acquisition of a combined 45% stake held by Sumitomo Metal Mining Co Ltd. and Sumitomo Corporation in Sierra Gorda Sociedad Contractual Minera, owner of the Sierra Gorda project, located in the Antofagasta Region.
  • We advised IAMGOLD Corporation on the sale process of a royalty portfolio to Triple Flag Precious Metals Corp, which included a 1% royalty owned by Minera Polo Sur S.A., a Chilean entity controlled by IAMGOLD Corporation (approximately 75%), over mining concessions currently owned by Antofagasta Minerals.
  • We advised Appian Capital Advisory LLP on the sale of its stake in Compañía Minera Caserones SCM to Nomad Royalty Company LTD.
  • We advised Goldcorp Inc. on the purchase from Barrick Gold and Kinross of 50% of Norte Abierto SpA (formerly Compañía Minera Casale), owner of the Norte Abierto project, located in the Atacama Region.
  • We advised SSR Mining on the sale process of the royalties it held in the Challacollo and Juncal projects and La Flora to EMX Royalty Corporation.
  • We advised Goldcorp Inc. on the creation of a joint venture, which integrated the gold and copper project known as “El Morro,” owned by Goldcorp, and the copper and molybdenum project known as “Relincho,” owned by Teck Resources Limited, into a single mining project called “Proyecto Corredor,” now named “Nueva Union,” located in the Atacama Region.
  • We advised SSR Mining Inc. on the sale of the equity stake in Minera Cachinal S.A. (approximately 20%) that SSR Mining Inc. and Silver Standard Ventures Inc. held to Aftermath Silver LTD, and on the creation of a pledge over the shares of Minera Cachinal S.A. to secure the payment of the balance of the price.
  • We advised JSW Steel on the sale of its 70% stake in Santa Fe Mining SCM, a joint venture for iron exploitation, located in Copiapó, Atacama Region.
  • We advised Franco-Nevada Corporation on the agreement with Lundin Mining Corporation for the purchase of 80% of the Chilean companies owning the Candelaria and Ojos del Salado mining deposits from Freeport-McMoRan Inc.
