Sergio has been a partner of the firm since 1999, when Cariola merged with Estudio Díez, Pérez-Cotapos Silva & Lira Ltda., where he was also a partner.
He is in charge of one of the firm’s Mergers and Acquisitions groups, and focuses primarily on buying and selling companies, as well as corporate and commercial issues, and continuous advice for national and foreign medium and large size clients in several areas, such as oil, stockbroking, energy, industry, agribusiness, hotels, and fishing and aquaculture, as well as laboratories and casinos, among others. He has participated in numerous transactions, advising foreign clients throughout the entire acquisition, development and financing process of the respective projects.
Sergio also participates in due diligence processes, drafting of agreements for the sale and purchase of company shares and shareholder’s agreements, franchise agreements, as well as PPP, EPC, O&M contracts, among others.
He serves as director on the boards and has advised and, on a daily basis, to large companies on their operations in Chile, including, but not limited to, Empresas Públicas de Medellín, Starwood, Whirlpool, Tractebel, SGS, Experian, Chevron, Godrej, Mitsubishi Power, Cooke Aquaculture, Cofco, Fallcreek, WeWork and others. Likewise, among the most significant transactions that he has led is the purchase of Repsol’s chain of Service Stations in Chile by Terpel, for a value of USD 280M; the purchase and construction of a wind farm by EPM, for USD 220M; the acquisition of Aguas de Antofagasta for USD 975M; the sale of Terpel to Enex for USD 270M; and the sale of Chevron to Petrobras.
He is also the leader of the Asia/Pacific department (Asia-Pacific Desk), representing many Asian companies in their investments in Chile, particularly state-owned and private Chinese companies, in all economic areas, but especially in energy and industry.
